We’re excited to introduce you to a revolutionary platform designed to preserve memories, wisdom, and stories for generations. These Terms of Service (“Terms”) govern your use of Legacee, including all software, content, and services (collectively referred to as "Services") available through:

• Our website, https://legac.ee (the “Website”),
• Our mobile applications, Legacee for iOS and Legacee for Android (the “Apps”).

By accessing or using the Services, you agree to these Terms, along with our Privacy Policy. If you do not agree, please refrain from using our Services.

The terms "Legacee," "we," "our," and "us" refer to Memory Lab Inc., a Delaware corporation dedicated to building technology that empowers users to preserve their legacies and interact with personal AI avatars. The term "you" refers to the individual using the Services.

1. OUR MISSION & SERVICES

At Legacee, our mission is to provide a platform where anyone can build their immortality by creating personal AI avatars. These avatars act as digital extensions of users, capable of preserving their unique life stories, wisdom, and cherished memories. Through Legacee, users can interact with their own avatars or connect with the avatars of family members and friends, fostering meaningful connections across time and distance.

1.1 Key Features

• AI-Driven Interviews:
  Legacee uses an advanced AI interviewer to guide users through structured questions. This process captures personal stories, experiences, and insights, which are then stored securely in a digital memory bank.
• Voice and Text Interaction:
  Users can interact with their AI avatars through either text-based chats or voice conversations. If users choose to speak with the AI using a microphone, they consent to their voice being saved and duplicated exclusively for their personal AI avatar.
• Shared Contributions:
  Family members and friends can contribute additional memories, photos, and anecdotes to enrich the AI avatar’s knowledge, making it a more accurate reflection of the person’s life and legacy.
• Secure Data Storage:
  All data, including voice and text inputs, is stored securely with industry-leading encryption to protect your privacy.

1.2 Communication Features

• Avatar-to-Human Calls:
  Users can call their AI avatars and engage in lifelike conversations. This feature creates an unparalleled communication experience, allowing users to relive interactions and hear their loved ones' voices anytime.
• Interactive Memory Building:
  Through contributions from multiple users, each avatar evolves into a comprehensive repository of shared memories and knowledge.

2. MEMBERSHIP & ACCOUNTS

2.1 Creating an Account

To access Legacee, users must create an account by providing accurate and current information during the registration process. Your account credentials must remain confidential, and you are solely responsible for any activities conducted under your account.

By registering, you agree to:

• Maintain the confidentiality of your login credentials.
• Notify us immediately at support@legac.ee if you suspect unauthorized access to your account.
• Ensure your account details are always up to date.

2.2 Membership Tiers

Legacee offers two types of memberships:

• Basic Membership:
  Free access to limited features for users who want to explore Legacee at no cost.
• Premium Membership:
  Full access to all features, including voice duplication, interactive calls, and advanced memory-building tools, available through a subscription fee.

Subscription terms, pricing, and payment details are outlined on our Website and within the Apps.

2.3 Subscription Management

Subscriptions automatically renew unless canceled prior to the renewal date. You can manage your subscription directly through the platform where it was purchased (e.g., Apple App Store, Google Play Store, or our Website). Refunds are subject to the terms of the payment platform.

3. DATA COLLECTION & VOICE DUPLICATION

3.1 How We Collect Data

Legacee employs an AI interviewer to collect personal data, stories, and memories. Users can provide input through:

• Text Input: Users type their responses directly into the platform.
• Voice Input: Users speak directly into the platform, and their responses are recorded.

All collected data is securely stored and used exclusively to build and enhance your personal AI avatar.

3.2 Voice Duplication

If you use the microphone for input, you consent to:

• Voice Storage: Your voice will be securely stored and used solely to replicate your speech patterns for your personal AI avatar.
• Restricted Access: Your duplicated voice cannot be used by any third party or for purposes other than creating your avatar.

This feature ensures your avatar reflects your unique vocal identity, providing a lifelike interaction experience.

3.3 Data Security

Your privacy is our top priority. Legacee employs advanced encryption protocols and data protection measures to ensure the safety and confidentiality of your information.

4. CONTENT CONTRIBUTION & COMMUNITY COLLABORATION

Legacee is more than a tool—it’s a shared platform for family and friends to build collective memories. By contributing photos, stories, or other content to an avatar, users agree to the following:

• Contributions become part of the avatar’s memory and are accessible to all permitted users.
• You retain ownership of your submitted content but grant Legacee the right to use it solely for the purpose of enhancing the AI avatar.

Contributors are responsible for ensuring that the content they share complies with applicable laws and does not infringe on the rights of others.

5. ACCOUNT TERMINATION

5.1 By the User

You may delete your account at any time. Deleting your account is irreversible and will permanently erase all associated data, including your AI avatar and its memories. Paid subscriptions will remain active until the end of the current billing cycle.

5.2 By Legacee

We reserve the right to suspend or terminate your account if:

• You violate these Terms.
• You engage in fraudulent or harmful activities.

Termination by Legacee may occur without prior notice in cases of severe violations.

6. INTELLECTUAL PROPERTY

Legacee and its associated content, including software, features, and trademarks, are protected by intellectual property laws. Users may not copy, distribute, modify, or create derivative works from any aspect of the platform without express written consent.

You retain ownership of the content you upload but grant Legacee the necessary rights to use, store, and process your content for the purpose of providing the Services.

7. LIABILITY AND DISCLAIMERS

7.1 Limitation of Liability

Legacee is provided on an "as is" basis. While we strive to offer the best experience, we do not guarantee uninterrupted or error-free operation. Memory Lab Inc. is not responsible for:

• Loss of data resulting from unauthorized access.
• Errors caused by third-party platforms or services.

Our total liability is limited to the subscription fees paid in the six months preceding the claim.

7.2 Indemnity

You agree to indemnify and hold harmless Memory Lab Inc., its officers, employees, and partners from any claims or damages arising from your use of the Services or violation of these Terms.

8. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of Delaware. Disputes will be resolved through binding arbitration as outlined in our Arbitration Agreement.
